1. Acceptance of Terms

By accessing or using Jalapeño (the "Service") operated by Friskly AB [TODO: founder to confirm the exact legal entity name] ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Jalapeño is a meeting intelligence and action tracking platform. The Service records meetings, generates transcripts, extracts action items using AI, and syncs them to third-party project management tools. Features may change as we develop the product.

3. User Accounts

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Record meetings without the consent of all participants where required by law.
  • Upload content that infringes on the intellectual property rights of others.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Use automated means to access the Service beyond what is provided by our API.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or redistribute the Service without written consent.

5. Your Content

You retain ownership of all content you upload or generate through the Service, including meeting recordings, transcripts, and action items ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide and improve the Service.

You are responsible for ensuring you have the right to upload and process Your Content, including obtaining necessary consents from meeting participants.

6. Fees, Billing, Subscriptions, and Refunds

Jalapeño offers a free plan and paid subscription plans. Paid plans are priced per seat and billed in advance on a recurring basis. Payments are processed by our payment processor, Stripe. By subscribing to a paid plan, you authorize us and Stripe to charge your payment method for the applicable fees.

6.1 Plans and Per-Seat Pricing

Paid plans are charged per seat. The number of seats, and therefore the amount billed, reflects the members in your workspace during the billing period. Current plans and prices are shown on our pricing page. We may change our prices on a going-forward basis; we will give you reasonable notice before a price change takes effect, and the change will apply from your next renewal.

6.2 Billing Cycle and Auto-Renewal

You may choose a monthly or annual billing cycle. Your subscription renews automatically at the end of each billing cycle (monthly or annual) for a further cycle of the same length, at the then-current price, unless you cancel before the renewal date. By subscribing, you consent to these recurring charges.

6.3 Cancellation

You may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of the current billing period. You keep access to paid features until the end of the period you have already paid for, and you will not be charged for any subsequent period. We do not provide prorated refunds for the unused portion of a billing period except where stated below or required by law.

6.4 Refunds

Except where required by applicable law, fees are non-refundable and there are no refunds or credits for partial periods, unused seats, or unused recording hours. 6.5 Plan Changes and Proration

You may upgrade, downgrade, or add or remove seats during a billing period. When you upgrade or add seats, the change applies immediately and we charge a prorated amount for the remainder of the current period. When you downgrade or remove seats, the change takes effect at the start of your next billing period, and no prorated credit is issued for the current period unless required by law.

6.6 Usage and Overage Charges

Each paid plan includes an allowance of recording hours. If your workspace exceeds its included recording hours, the additional usage is billed at the applicable per-hour overage rate shown on our pricing page, in addition to your subscription fee. The free plan does not support overages; it stops at its included allowance.

6.7 Taxes

Stated prices are exclusive of taxes unless otherwise indicated. You are responsible for any applicable sales tax, VAT, GST, or similar taxes and duties, which may be added to your invoice based on your billing location. If we are required to collect such taxes, they will be itemized at checkout or on your invoice.

6.8 Failed Payments

If a payment fails, we may retry the charge and may suspend or downgrade your access to paid features until the outstanding amount is paid. You are responsible for keeping your payment method current.

7. Third-Party Integrations

The Service integrates with third-party platforms (Slack, Google, Microsoft, Zoom, Atlassian, Linear, Asana). Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability or functionality of third-party services.

8. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Friskly AB [TODO: founder to confirm the exact legal entity name] and protected by intellectual property laws. These terms do not grant you any right to use our trademarks, logos, or brand elements.

9. Limitation of Liability
